I. PARTIES
1. The Claimant (Unitel) is a private limited mobile telecoms company incorporated under the laws of the Republic of Angola with company number 1999.44 and having its registered office at [...] Luanda, Angola.
2. The Defendant (UIH) is a private company with limited liability incorporated under the laws of the Netherlands with company number 55247946 and having its registered office at [...] Amsterdam. Despite its name, UIH has no corporate connection or affiliation to Unitel.
3. UIH was incorporated on 4 May 2012 as Jadeium, BV, and changed its name to UIH in December 2012. UIH's business is to hold shares in a number of telecoms companies, as more fully particularised below.
4 The controlling shareholder of UIH is Mrs Isabel dos Santos (IdS). IdS is a f high net worth Angolan national, and the daughter of the former President of Angola (José Eduardo dos Santos), whose presidency ended in 2017.
5. From June 2012 to March 2019, IdS was Unitel's Chairwoman through a British Virgin Islands entity wholly owned by her Vidatel, IdS also owns 25% of the shares of Unitel.
