Danpower submitted the Notice of Intent to Submit Dispute to Arbitration (the "Notice of Intent") regarding the possible infringements of the Agreement between the Federal Republic of Germany and the Republic of Lithuania for the promotion and Protection of Investments and the Energy Charter Treaty, inter alia, because the State authorities and / or entities controlled by the State created legal obstacles for Danpower Taika and SSPC Vilnius to obtain all necessary permits and agreements needed to start actual application of the fixed tariff provided by the NCECP Decision.

The Parties seek to amicably settle the claims, submitted towards the State by the Notice of Intent, by mutual agreement, and to agree on the completion of disputes in administrative and civil cases, therefore they conclude this Agreement, having regard to the Art. 6.983- 6.986 of the Civil Code of the Republic of Lithuania ("CC"), Art. 51 of the Law on Administrative Proceedings, and the Part 1 of Art. 11 of the Agreement between the Federal Republic of Germany and the Republic of Lithuania for the Promotion and Protection of Investments;
